1 Acceptance of Terms
By accessing or using the website at www.vedtam.com or by engaging Vedtam Tech Solutions ("Vedtam", "we", "us", "our") for any services, you ("Client", "User", "you") agree to be bound by these Terms of Service and all applicable laws and regulations of India.
If you do not agree to these terms, you must immediately cease use of our website and services. These Terms apply to all visitors, users, and clients.
Note: These Terms govern website use and general service engagement. Specific project engagements will be governed by a separate Statement of Work (SOW) or Service Agreement, which takes precedence in case of conflict.
2 Our Services
Vedtam Tech Solutions provides IT and technology services including, but not limited to:
- Cybersecurity services (assessments, penetration testing, SOC, threat management)
- Network security design, audit, and implementation
- Cloud migration, management, and DevOps solutions
- IT managed services and infrastructure support
- Compliance consulting (ISO, GDPR, HIPAA, PCI DSS, CERT-In)
- Hardware procurement and deployment
- Software development and digital transformation
- Virtual CISO and strategic IT advisory
Service availability, scope, and deliverables are defined in individual project agreements or Statements of Work (SOWs).
3 Use of Website
3.1 Permitted Use
You may use our website for lawful purposes only, including researching our services, submitting enquiries, and accessing publicly available information.
3.2 Prohibited Activities
You agree NOT to:
- Attempt to gain unauthorised access to our systems, servers, or data
- Conduct any form of security testing on our infrastructure without written permission

4.1 Client Work Product
Deliverables produced specifically for a client engagement (reports, code, configurations) become the client's property upon full payment, unless otherwise specified in the relevant SOW. Pre-existing Vedtam tools, methodologies, templates, and frameworks remain Vedtam's property.
4.2 Feedback
Any feedback, suggestions, or ideas you provide may be used by Vedtam without obligation or compensation to you.
5 Client Obligations
Clients engaging Vedtam for services agree to:
- Provide accurate, complete, and timely information required for service delivery
- Ensure Vedtam has appropriate access to systems, data, and personnel necessary for project completion
- Obtain all necessary internal approvals and third-party permissions before commencing work
- Designate a primary point of contact to coordinate with Vedtam's team
- Review and approve deliverables within timelines specified in the SOW
- Comply with all applicable laws and regulations in connection with services received
Delays caused by the client's failure to meet these obligations may result in project timeline revisions and additional charges.
6 Payment & Fees
6.1 Pricing
Service fees are defined in individual proposals, quotations, or SOWs. All prices are in Indian Rupees (INR) unless otherwise stated and are exclusive of applicable taxes (GST).
6.2 Payment Terms
- Payment terms (advance, milestone, or post-delivery) are specified in the SOW
- Standard payment terms are 50% advance and 50% upon delivery unless otherwise agreed
- Invoices are payable within 15 days of issuance
6.3 Late Payment
Overdue invoices are subject to interest at 18% per annum. Vedtam reserves the right to suspend services for accounts more than 30 days overdue after notice.
6.4 Refunds
Advance payments are non-refundable once work has commenced, except where Vedtam has materially failed to deliver agreed services. Refund requests must be submitted in writing within 7 days of the disputed event.
7 Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes technical data, business strategies, client lists, pricing information, and security findings.
Vedtam will not disclose client information to third parties except as required by law or as explicitly authorised by the client in writing. Specific confidentiality terms, including NDAs, can be established in service agreements.
Confidentiality obligations survive the termination of any service engagement for a period of 3 years.
8 Indemnification
You agree to indemnify and hold Vedtam, its directors, employees, and partners harmless from claims, losses, and liabilities arising from your misuse of our website, breach of these Terms, or violation of applicable law.
9 Force Majeure
Neither party is liable for delay or failure in performance caused by events beyond reasonable control, including natural disasters, cyber incidents by third parties, telecom outages, governmental restrictions, labor disruptions, or other force majeure events.
10 Limitation of Liability
To the maximum extent permitted by applicable law:
- Vedtam's total liability for any claim arising from services shall not exceed the fees paid by the client in the 3 months preceding the claim.
- Vedtam is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- Vedtam is not liable for damages arising from client's failure to implement security recommendations or maintain systems properly.
This limitation does not apply to cases of fraud, gross negligence, or wilful misconduct by Vedtam.
11 Warranties & Disclaimers
Vedtam warrants that services will be performed with reasonable skill and care in accordance with industry standards.
We do not warrant that:
- Our website will be continuously available or error-free
- Security services will prevent all cyber threats or breaches (no security solution is 100% effective)
- Compliance consulting guarantees regulatory approval or certification outcomes
- Website content is complete, current, or free from errors
The website and its content are provided "as is" without warranties of any kind, express or implied.
12 Termination
10.1 By Client
Clients may terminate a service engagement with 30 days written notice. Payment is owed for all work completed up to the termination date.
10.2 By Vedtam
Vedtam may suspend or terminate services immediately if a client:
- Fails to pay invoices within 30 days of the due date after notice
- Uses Vedtam services for unlawful purposes
- Materially breaches these Terms and fails to remedy the breach within 14 days of notice
10.3 Effect of Termination
Upon termination, all outstanding fees become immediately due. Vedtam will return or securely delete client data per the agreed data handling procedure within 30 days.
13 Dispute Resolution
In case of any dispute arising from these Terms or our services, the parties agree to:
- Good Faith Negotiation: Contact the other party in writing and attempt to resolve the dispute within 30 days.
- Mediation: If negotiation fails, refer the dispute to a mutually agreed mediator in Noida, Uttar Pradesh.
- Arbitration: If mediation is unsuccessful, resolve through binding arbitration under the Arbitration and Conciliation Act, 1996, with proceedings in English in Noida.
Neither party will initiate litigation until the above steps have been exhausted, except to seek urgent injunctive or equitable relief.
14 Governing Law & Jurisdiction
These Terms are governed by the laws of India, including the Information Technology Act, 2000 and the Indian Contract Act, 1872. The courts of Noida / Gautam Buddha Nagar, Uttar Pradesh shall have exclusive jurisdiction over any disputes not resolved through arbitration.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
These Terms constitute the entire agreement between you and Vedtam regarding website use and supersede all prior agreements on the same subject.
